Round Funded Terms of Service

These Terms of Service ("Terms") govern your access to and use of Round Funded (the "Service"), available at https://www.roundfunded.com. By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree, do not use the Service.

1. Service Description

Round Funded provides a software-as-a-service platform that consists of: (a) access to a business intelligence database of publicly available information about investors, accelerators, and incubators; (b) productivity tools for composing and tracking communications sent from a user's own connected email account; and (c) a CRM for organizing user-managed contacts and pipelines.

The Service is delivered entirely as software. Access is provided on a flat-fee subscription or one-time license basis, with no usage-based, transaction-based, or outcome-based pricing.

2. Scope of Service and Regulatory Posture

Round Funded is a software product. It is not an investment platform, marketplace, financial intermediary, or regulated financial service, and operates exclusively within the software/SaaS category (typically classified under merchant category code 5734, Computer Software Stores, or 7372, Computer Programming, Data Processing, and Integrated Systems Design Services).

Specifically, Round Funded:

  • Does not act as a broker-dealer. We do not facilitate, negotiate, structure, introduce, or close any investment, securities offering, capital raise, or financial transaction between users and any third party. We are not registered as a broker-dealer with any regulator, and we do not engage in activities that would require such registration.
  • Does not conduct or facilitate any securities offering, and does not engage in any general solicitation or general advertising of any offering. The Service is software for organizing and sharing materials, not a venue for offering or selling securities. If you use the Service in connection with raising capital, you and your own legal counsel are solely responsible for determining the appropriate registration or exemption (for example, Rule 506(b) or Rule 506(c) under Regulation D, or any other applicable exemption) and for satisfying every condition of that exemption and all other applicable securities laws, including any investor-qualification, accreditation-verification, disclosure, and solicitation requirements. Round Funded takes no part in selecting an exemption, qualifying or verifying investors, or ensuring your offering complies. Your use of the Service, including creating or sharing a Data Room, is not a public solicitation, advertisement, or offering by Round Funded.
  • Does not provide investment advice. Information surfaced through the Service is general business intelligence aggregated from public sources. It is not personalized investment advice, securities recommendation, or financial planning, and must not be relied on as such. Users are solely responsible for their own due diligence and investment decisions.
  • Does not take any commission, success fee, carry, finder's fee, referral fee, or share of any deal, outcome, or transaction. Our entire revenue is the flat subscription fee or one-time license fee disclosed on our pricing page. Round Funded receives no payment of any kind tied to the size, success, terms, or any other outcome of any communication, introduction, meeting, or transaction between users and third parties.
  • Does not hold, transfer, escrow, custody, or otherwise handle user funds, investor funds, or any third-party funds. Round Funded does not operate any account, wallet, or payment flow for transferring money between users and any other party. Any financial transactions between users and any counterparty occur entirely outside the Service, through channels chosen and operated by those parties.
  • Does not represent or act on behalf of investors, funds, accelerators, incubators, or any third party listed in our database. Listings are aggregated from publicly available sources; inclusion does not imply endorsement, partnership, affiliation, or any contractual relationship with the listed entity.

You acknowledge that you alone are responsible for any communications, negotiations, agreements, due diligence, compliance obligations, or transactions you enter into with any third party as a result of using the Service.

3. Account Registration

You must be at least 18 years old and capable of entering into a binding contract to create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your account credentials.
  • Notify us immediately of any unauthorized access.
  • Be responsible for all activity that occurs under your account.

We may suspend or terminate accounts that provide false information.

4. Acceptable Use

You agree NOT to:

  • Send unsolicited commercial communications, spam, or any messages that violate applicable anti-spam laws (CAN-SPAM, GDPR, CASL, or equivalent).
  • Scrape, resell, redistribute, republish, or otherwise commercialize the investor, accelerator, or incubator database.
  • Reverse engineer, decompile, or attempt to extract source code from the Service.
  • Use the Service for any unlawful, fraudulent, or harmful purpose.
  • Bypass rate limits, access controls, or other technical measures.
  • Impersonate any person or entity in your communications.
  • Connect email accounts you do not own or have authorization to use.
  • Use the Service to facilitate or solicit any activity that would require broker-dealer, investment adviser, or other financial-services registration on your part.

Violation of these terms may result in immediate account termination without refund.

5. Payment, Subscription, Free Trial, and No Refunds

Round Funded offers paid access on a subscription and one-time-license basis. Our current plans include recurring monthly subscriptions (such as Round+ and Round Pro) and a one-time Lifetime license, along with optional one-time in-dashboard purchases such as AI email credit top-ups and gift cards. The current plans, prices, billing intervals, any free trial, and any discounts or promotions are shown on our pricing page (https://www.roundfunded.com/pricing) and at checkout. The price and terms that apply to your purchase are the ones presented to you at the time you purchase. We may add, remove, rename, or change plans, prices, trials, discounts, and promotions at any time, and any change applies to future purchases and future billing periods only.

Free trial. We may offer a free trial on our subscription plans. When a trial is offered, its availability, length, and terms are those disclosed at checkout and on our pricing page, and it is available to first-time subscribers only. A valid payment method is required to start a trial. Unless you cancel before the trial ends, your subscription automatically converts to a paid subscription and your payment method is charged the applicable plan price when the trial ends, and at the start of each billing period thereafter. You can cancel at any time during the trial from the Billing section of your dashboard to avoid being charged. Returning customers are billed immediately upon subscribing. We may change or discontinue trial availability, length, and terms at any time.

All payments are processed through our authorized payment processors, including Stripe (https://stripe.com) and/or other PCI-DSS compliant gateway providers. Round Funded does not directly store, process, or transmit card data; all card data is handled by the payment processor under their own terms and security obligations. By purchasing, you also agree to the terms of the payment processor handling your transaction.

All sales are final. You may cancel any Round Funded subscription at any time to stop future billing; the cancellation takes effect at the end of your current billing period. No refunds are issued for partial months, unused time, or Lifetime purchases, except at our sole discretion as described in our Refund Policy. See the Refund Policy for details, including how we handle a charge that follows a trial you intended to cancel.

Existing Lifetime customers are not subject to recurring charges.

6. Email Communications and Your Sender Identity

The Service allows you to connect your own email account (such as Gmail) through OAuth and compose and send emails through that account. All emails sent via the Service are transmitted from your own connected mailbox, through your email provider's own infrastructure (for example, Google's Gmail API), using your own sender identity. We request send-only access and never read your mailbox. Round Funded does not operate any shared or pooled email-sending infrastructure, and does not relay outbound user communications through its own domains.

No email warming. Round Funded does not provide email warming, inbox warm-up, send-rate ramping, simulated inbox activity, or account rotation for any account, including Google accounts. Emails are sent as composed by you, only to the specific recipients you select. Every email sent through the Service includes a one-click unsubscribe link in its footer; clicking it immediately stops all further emails from your account to that recipient and cancels any scheduled follow-ups.

You are solely responsible for:

  • Compliance with applicable anti-spam, privacy, and data-protection laws (CAN-SPAM, GDPR, CASL, etc.).
  • The content of all emails you send.
  • Maintaining the deliverability and reputation of your sender domain.
  • Honoring unsubscribe requests and managing your recipient lists.

Round Funded does not warrant that any communication you send will reach inboxes or receive replies.

7. Your Shareable Data Room and Public Profile

The Service lets you create a shareable Data Room (also referred to as a founder profile or "raise" page) that bundles information you choose to provide about your startup, such as a one-liner, deck, metrics, team, and what you are looking for. You decide which fields to fill in and which to leave out. You are the author and publisher of this content.

You acknowledge and agree that:

  • A Data Room you create is public information that you have voluntarily agreed to make available. By default a Data Room is publicly accessible, may be indexed by search engines, and can be viewed by anyone who has the link. The moment you share the link, post it on social media, send it to any person, or otherwise distribute it, the content becomes publicly available, and that is exactly what it is intended to do.
  • The only information in your Data Room is information you chose to enter and agreed to share. Do not include confidential, non-public, sensitive, or legally restricted material that you do not want to be public. Once a link is shared, you cannot control onward redistribution by recipients.
  • You publish this content yourself; Round Funded does not solicit, advertise, market, or present any offering on your behalf. The Service is a software tool for hosting a page that you author and choose to distribute. Round Funded does not introduce your Data Room to investors, does not present terms to any party, and takes no part in any offer, solicitation, negotiation, or transaction. Consistent with Section 2, Round Funded is not a broker-dealer, does not provide investment advice, and receives no payment tied to any outcome.
  • You are solely responsible for the legality of what you publish. You are responsible for ensuring that the creation, content, and distribution of your Data Room complies with all laws that apply to you, including securities and solicitation laws, advertising rules, and privacy and data-protection obligations. You are responsible for any consequences of making this information public.

If you do not want your Data Room to be public, do not create or share one. You may make a Data Room private, edit its content, or stop sharing the link at any time from your dashboard, but you understand that any information already accessed, cached, indexed, or saved by others while the link was shared may remain outside your control.

8. Investor and Accelerator Data

The Service aggregates publicly available information about investors, accelerators, and incubators. This data is compiled from official third-party data providers and other verifiable public sources. We make reasonable efforts to keep this data accurate but provide it "as is" with no warranty of completeness, accuracy, or fitness for any purpose. You agree not to rely on the data as the sole basis for any business or financial decision.

Inclusion of any entity in our database is not an endorsement of that entity, nor does it imply any relationship between Round Funded and the listed entity.

We do not display personal contact details such as private email inboxes; the contact information shown is limited to public, professional channels. If you are an individual or organization listed in our database and you would like your information corrected or removed, email us at team@roundfunded.com and we will action your request.

9. Intellectual Property

Round Funded retains all rights, title, and interest in the Service, including the platform, code, design, branding, and the curated database. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business activities while your account is in good standing.

10. Limitation of Liability

To the maximum extent permitted by law, Round Funded and its operators are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, opportunities, or business relationships, arising from your use of the Service. Our total cumulative liability shall not exceed the amount you paid to Round Funded in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied.

11. Termination

We may suspend or terminate your account immediately, with or without notice, if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (Scope of Service and Regulatory Posture, Payment, Intellectual Property, Limitation of Liability, Governing Law) will survive.

You may delete your account at any time from your dashboard. Deletion is permanent and irreversible. No refund will be issued upon deletion.

12. Changes to These Terms

We may update these Terms from time to time. The most recent version is always available at https://www.roundfunded.com/legal/terms. Material changes will be communicated by email or in-product notice. Continued use of the Service after changes means you accept the updated Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Round Funded operates. Any dispute will be resolved in the courts of that jurisdiction.
